Governing Law, Jurisdiction and Dispute Resolution

These Terms of Use shall be governed and interpreted by and construed in accordance with the laws of the Republic of India and subject to the arbitration clause below, the courts at New Delhi shall have sole and exclusive jurisdiction over all matters arising out of or relating to these Terms of Use. 

Arbitration

A.  Any and all disputes arising out of or in connection with these Terms of Use shall be exclusively submitted to arbitration under the Arbitration and Conciliation Act, 1996, as applicable, and shall be adjudicated by an arbitral tribunal comprising a sole arbitrator to be appointed by mutual consent of the parties. 

B.  If the parties to the arbitration are unable to agree upon the joint appointment of the sole arbitrator within 10 (ten) Business Days from the referral to arbitration, then, the arbitrator shall be appointed as per the provisions of the Arbitration and Conciliation Act, 1996.

C.  All proceedings of the arbitration shall be conducted in English language. The venue and seat of arbitration shall be New Delhi. 

D.  The arbitration award rendered by the sole arbitrator shall be final and binding.
